These Terms & Conditions (“Terms”) govern your engagement with Spar & Affiliates LLP (“we,” “us,” or “our”) for the provision of financial, taxation, and corporate advisory services. By using our services, you agree to be bound by these Terms.

1. Scope of Services

  • Spar & Affiliates LLP provides professional services including but not limited to:
  • Accounting and bookkeeping
  • Taxation advisory and filing (Direct & Indirect Tax)
  • Corporate finance consulting
  • Statutory and regulatory compliance
  • Company, LLP, and partnership formation and advisory
  • Individual and business financial advisory

All services are rendered based on mutually agreed terms through email, written communication, or formal engagement letters.

2. Client Responsibilities

Clients agree to:

  • Provide accurate, complete, and timely information and documents required for service execution.
  • Respond to communication in a timely manner to avoid delays in deliverables.
  • Review and confirm filings and submissions before final execution.
  • Pay fees as agreed upon within the stipulated timelines.
  • Failure to cooperate or provide required documentation may impact the quality or timelines of the services delivered.

3. Fees & Payment

  • Our fee structure is discussed and agreed upon in advance.
  • Payments are due as per the invoice terms.
  • Delay in payment may attract penalties or interest, and services may be paused until dues are cleared.
  • Any third-party government or statutory filing fees are to be borne by the client.

4. Confidentiality

  • We maintain strict confidentiality of all client information, data, and documents.
  • Your information will not be shared with third parties except where legally required or with your explicit consent.

5. Limitation of Liability

  • While we strive for accuracy and timely delivery, Spar & Affiliates LLP shall not be liable for any loss or damage arising due to errors in data provided by the client, delays in submission from the client’s side, or circumstances beyond our control.
  • We are not liable for any penalties or legal consequences arising from non-compliance due to incomplete or false information provided by the client.

6. Termination of Engagement

  • Either party may terminate the engagement with a written notice. In such cases:
  • All completed work will be billed and must be paid for.
  • Any documents or data will be returned upon clearance of all dues.

7. Intellectual Property

  • Any templates, tools, or resources shared by Spar & Affiliates LLP during the course of engagement remain our intellectual property and are not to be reused or redistributed without written permission.

8. Jurisdiction & Governing Law

  • These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in New Delhi, India.

9. Modifications

  • We reserve the right to modify these Terms at any time. Any changes will be communicated via email or posted on our official communication channels. Continued use of our services after such updates shall imply your acceptance.
