companies are governed by the Companies Act, 2013, and Limited Liability Partnerships by the LLP Act, 2008. The Ministry of Corporate Affairs (MCA) regulates company registration, operations, and statutory compliances. Non-compliance can result in penalties, additional fees, and disqualification of directors/partners.

OPC (One Person Company) Compliance

An OPC is a private company with one shareholder. Though it enjoys several relaxations, certain compliances remain mandatory.

MCA Compliances for OPC:

Filing of Financial Statements (AOC-4): Within 180 days from the end of the financial year.
Annual Return (MGT-7A): Within 60 days from the date of AGM (or from the date when AGM should have been held).
Director KYC (DIR-3 KYC): Annual KYC for directors by 30th September.
Income Tax Return (ITR-6): By 31st October.
Statutory Audit: Mandatory irrespective of turnover.
Other event-based compliances: Change in director, address, shareholding etc.

LLP (Limited Liability Partnership) Compliance

LLPs are governed by the LLP Act, 2008 and have comparatively lesser compliance requirements than companies.

MCA Compliances for LLP:

Annual Return (Form 11): Filed by 31St May every year.
Statement of Accounts & Solvency (Form 8): Filed by 30th October.
Income Tax Return (ITR-5): Filed by 31st July or 31st October (if audit applicable).
Director KYC (DIR-3 KYC): For designated partners by 30th September.
Event-based compliances: Change in partners, registered office, capital contribution etc.
Audit Requirement: Only mandatory if turnover exceeds ₹40 lakh or capital contribution exceeds ₹25 lakh.

Private Limited Company (Pvt Ltd) Compliance

A Private Limited Company is a popular business structure for startups and SMEs.

MCA Compliances for Pvt Ltd:

Board Meetings: Minimum 4 meetings in a year, one in each quarter.
Filing of Financial Statements (AOC-4): Within 30 days from AGM.
Annual Return (MGT-7): Within 60 days from AGM.
AGM: Within 6 months from financial year end (excluding first year).
Director KYC (DIR-3 KYC): For all directors annually.
Appointment of Auditor (ADT-1): Within 15 days of AGM.
Statutory Audit: Mandatory for all companies.
Event-based Compliances: Allotment of shares, change in directors, alteration in MOA/AOA, etc.
